Director resignation & appointment

A utility company uses Kudocs for its SPV company secretarial work.  Recently this included changing the board. Using Kudocs, the company was able to record the resignation of multiple directors and run the appointment process themselves (including some future-dated appointments).  Normally this was something they had to get their lawyers to do, and it would take at least a week to get started. The company did it in minutes.

A market-leading platform used Kudocs to run a recent share issue.  Looking to raise £5m with over 60 existing shareholders, the company used Kudocs to:

  • seek shareholder authority to issue new shares
  • run pre-emption (including calculating pre-emption entitlements and allowing over-subscription)
  • issue new shares, generate deeds of adherence and electronic share certificates

The company did this all in house- with no need for third-party advisors.  Kudocs customer support assisted them with the occasional query and the process ran very smoothly.

As well as the ease of use and visibility that Kudocs provided, the company was particularly impressed by the level of engagement from shareholders in the pre-emption and voting processes.  The ease of voting meant that shareholders responded in greater numbers and faster than via traditional methods.  

And to top it all off, Kudocs generated in excess of 40 new deeds of adherence and share certificates automatically – saving huge amounts of administrative time and effort.

Many customers use this functionality to manage how they share information with their investors.  It is simple to use, allows a wide range of formats, style and editing and can be sent to all – or only some – shareholders at the touch of a button.  No longer any need to manage and maintain a list of email addresses!

Any updates are automatically stored in the company’s document store and available to shareholders via the shareholder dashboard.

A market-leading European multinational in the short term rental space uses Kudocs for managing board meetings:

  • prepare the agenda (including assigning responsibility for items to specific individuals)
  • send invites
  • record attendance
  • distributing minutes after the event.

As well as making this process much easier than via traditional methods, the meeting, agenda and associated documentation all immediately and automatically forms part of the company’s corporate history, stored securely in Kudocs.

A customer incorporated a limited company to add to its group.  The live connection to Companies House ensured that they incorporated correctly (e.g. their name was not taken by anyone else). The guidance throughout ensured that they were informed and comfortable with the (very few) decisions they had to make during the process.

Incorporation (2 of 2)

A new holding company was needed – quickly – in advance of a restructuring.  Incorporating via Kudocs was incredibly straightforward and quick, and as soon as the company was up and running, the board was able immediately to pass the required resolutions to keep to the restructuring timeline.

The document store was used for a recent due diligence exercise.  The predesigned folder layout with the ability to create bespoke subfolders was intuitive to use and extremely helpful.  Uploading documents was fast (multiple documents at a time and drag & drop), as was moving documents and folders once created.

It was great being able to grant access to multiple third parties so that they could review as required.  Controlling access and user rights was straightforward and secure, giving control and peace of mind.

A company with a large number of shareholders, acquired over a number of seed rounds – ranging from friends & family to VC funds – granted them all access to the shareholder dashboard.  The corporate transparency for shareholders was a boost to investor confidence, and the ability for individual shareholders to access detailed information and documents specific to them – without having to ask the company – reduced a large amount of work and delay for everyone.
