Dynamic Package
A comprehensive package for a company limited by shares, which is – or is likely to be – making changes to its share capital/ shareholders. It has all the features of the Essential package, plus more.
Examples of companies that use this package:
- Start-ups preparing for or going through investment rounds.
- Any company that is making changes to its share capital or shareholdings, including transfers/ secondary transactions.

Incorporate a new company (incorporation fees included)
Incorporate your new company (limited by shares or limited by guarantee) using Kudocs. We offer standard and same day incorporations and do not charge for either (as part of a Kudocs subscription). With our bespoke incorporation tool, we make it easy to provide all the necessary information, correctly - quickly.

Online company registers & core company information
Maintain all company registers automatically and easily online using Kudocs. Fully Companies Act 2006 complaint. View online or export as pdf or spreadsheet.

File confirmation statement
Review current company information to file a confirmation statement. Very quick and easy to do. Generate a pdf preview before submission, or just press submit and it will be filed immediately at Companies House.

Change core company information (registered office, SAIL address, SIC codes, etc.)
Make changes to core company information, such as registered office, SAIL address and SIC codes. Some of these changes are done as part of the Confirmation Statement process, others require legal consents (resolutions), register updates and Companies House filings. Use Kudocs to do them all.

Change company officers and PSCs/RLEs (edit, add, remove)
Edit, add and remove (by resignation or removal) directors and secretaries. This includes obtaining the correct legal consents (consent to act & resolutions) all register updates and Companies House filings as appropriate. Edit, add and remove PSCs and RLEs, including adding PSC08 statements and adding/ editing them (PSC09).

Manage core accounts information (accounts filing reminders, change accounting reference date & file dormant accounts)
Manage your key accounting information using Kudocs. Kudocs will show you when your accounts are due as well as sending you reminders with plenty of notice so the deadline is not missed. You can also use Kudocs to change the accounting reference date, and/or file dormant accounts at Companies House, if applicable. Unfortunately, HMRC don't yet let us file accounts with them. As soon as they do, we'll plug that in.

Charges – create, edit and update
Use Kudocs to add charges to your company register and notify Companies House (ie file an MR01). You can add additional information about the charge to the registers in Kudocs and update that information. Also use Kudocs to update and edit charges (ie file MR04 and MR05).

Issue interim and final dividends
Issue interim and final dividends quickly and easily. Including board/ shareholder approval, dividend certificates and updating the dividend register.

Loan Notes
Add and update details of any Loan Notes (including documentation) to your Kudocs registers (electronic and downloadable as pdf/ xlsx)

Online document storage for Kudocs generated documents
You will have access to all & any documents created by Kudocs as part of your subscription (e.g. resolutions, dividend vouchers, confirmation statement summaries, etc) or uploaded by your users as part of a process (e.g. attaching a document to a resolution). You cannot add your own documents to the document store - that is only available in the Dynamic or Advanced packages.

Change company name
Change company name including, obtaining the correct legal consents (resolutions) all register updates and Companies House filings as appropriate. Same day name change service is available for no additional cost (as part of your Kudocs subscription).

Unlimited online document storage
Access to all & any documents created by Kudocs (e.g. resolutions, dividend vouchers, confirmation statement summaries, etc), uploaded by your users as part of a process (e.g. attaching a document to a resolution), or uploaded by your users into the document store directly.

Share capital management (create new share classes, subdivide/consolidate shares, redesignate shares, cancel shares)
Make changes to a company's share capital - create new share classes (new and historic), subdivide/consolidate shares, redesignate shares or cancel shares (by reduction, redemption or buy back). You can either record these changes after they have happened or use Kudocs to obtain the correct legal consents (resolutions) all register updates and Companies House filings as appropriate.

Build and export cap tables
Build your own cap table using Kudocs in only a few, quick, easy steps. It will also include elements like options and other security (including an option pool refresh), dilution (pre- and post- money), valuation (pre- and post- money), pre-emption entitlements, new share classes, etc. It is the perfect tool for either viewing your cap table ‘at a glance’ or modelling out what a future investment might look like. The end product is a spreadsheet that you can download and share/ work on further in excel (which is, after all, where all cap tables end up!).

Share transactions (issue and transfer shares)
Issue and transfer shares quickly and easily using Kudocs. You can use the system to run the entire process end to end. For issue that can include authority to issue, pre-emption (run or disapply), subscription agreements, deeds of adherence, board resolutions, share certificate generation and Companies House filings. For transfer that can include a standard form contract of sale & purchase, deeds of adherence, Stock Transfer Forms and Stamp Duty payment, board resolutions and share certificate generation (and Companies House filings if you want to file a confirmation statement). You can also run authority to issue and pre-emption as standalone processes.

Generate & distribute SEIS & EIS certificates in bulk
Need to generate EIS or SEIS certificates for investors after a round? You can generate EIS3 or SEIS3 in bulk, in seconds for individual direct investors, or individuals behind a corporate nominee. What used to take hours, now takes less than a minute.

Run custom shareholder/member and director resolutions
Draft your own resolutions (or get your advisor to draft it for you), and use Kudocs to run the vote - both director and shareholder/ member resolutions. You provide the substance, Kudocs does the leg work - whether it is for the board or shareholders/ members: sends out the vote, makes it easy for stakeholders to vote, counts the responses, records the outcome and builds you a complete resolution pdf once passed.

Run investor consent processes
Use Kudocs to run investor/ shareholder consents. You set up the voting structure for that matter, drop in the copy (drafted by you or your advisor) and Kudocs does the rest: sends out the vote, makes it easy for stakeholders to vote, counts the responses (including any vetoes), records the outcome and builds you a complete resolution pdf once passed.

Adopt new articles of association
Use Kudocs to adopt new articles of association. We don't draft the articles for you (this is complex and needs an advisor), but we do everything else - run the required resolution to approve, update the settings to reflect the new articles, update the registers and store a full record of what has happened.
