Conflict of interest – adding and removing

Why should I worry about conflicts of interests?

Directors have general duties under UK company law to avoid conflicts of interests where possible (s175 Companies Act 2006) and to declare these when they do exist (s177 Companies Act 2006). A company’s Articles – including the Model Articles – will also have rules on whether or not directors with a conflict of interest can form a quorum or vote on the matter in question, and in what circumstances (if at all) they can do.

Directors, secretaries and their advisors therefore must stay aware of conflicts or potential conflicts of interest. This is helped by keeping clear records of conflicts of interests.

 

Can I add conflicts of interest to Kudocs and generate a conflicts register? 

Yes, this is very quick and easy to do.  See our Guide here for more details.

This is a manual process where you add details to the conflicts register in Kudocs as a record keeping tool. The conflicts register can be exported at any time as a spreadsheet. Conflicts will also be listed on each director’s stakeholder record – see the example below!

 

How do I export a conflicts register from Kudocs?

Currently you can only export this as an Excel spreadsheet (XLSX format). To do so, go to Company Registers > Export registers and make sure you select the option to download registers in XLSX file format (instead of pdf or Word). ‘Conflicts’ will then appear on the list of registers available to export. 

 

Can I remove conflicts registered in Kudocs?

Yes, this is also easy to do via the director’s page (stakeholder record). See our Guide here for more details.

 

What type of conflicts can I add to Kudocs?  

Kudocs splits conflicts into Transactional and Situational conflicts to make these easier to describe and manage. However, you can add as much additional information as you consider appropriate. The information you record will only be visible within Kudocs and on any exported conflicts register – it does not go to Companies House. 

How do I remove a conflict from the register? 

Once the conflict no longer exists, you can easily remove the conflict via the relevant director’s page – see our Guide here.
