Company Secretary – appointment

Does a company need a company secretary?  No – the Companies Act 2006 removed the requirement for private companies to have a company secretary.  Public companies (plc) do still require one.

 

What happens if the secretary declines?  If the proposed new secretary declines the proposal then the process ceases at that point. 

 

What happens if the resolution is rejected?  If the vote is rejected, the initiator of the process will be alerted and they can decide what to do next.  Cancel the process (and maybe re-run it having spoken to the objecting stakeholders), or use Kudocs to arrange a meeting of the stakeholders to try and resolve it.

 

Does Kudocs update Companies House?  Yes, if you choose this option, Kudocs will file the necessary forms (AP03 or AP04) electronically on your behalf.

 

Does a secretary need to be human?  No, you can have a corporate secretary.
