Companies House rejected/failed filing – IDV/UID/Personal Code error

I have submitted a filing to Companies House that includes a director or PSC or LLP member UID (IDV details or Personal Code), but the filing has been rejected.  Why and what do I do about it?  The changes under ECCTA 2023 (https://www.kudocs.co.uk/faqs/unique-identifiers-idv/) mean that directors, LLP members and PSCs need to file their UIDs (or Personal Codes) as:

  • part of their confirmation statement;
  • as a separate PSC UID filing; or
  • as part of the incorporation or appointment filing.

We are seeing quite a lot of filings failing and being rejected by Companies House for the following type of reason:

The identity verification details provided for the director MICKY MOUSE were not correct. Before you try again, you should check that you have the right Companies House personal code, and that the director details match those used when their identity was verified. If the identity verification was conducted by an Authorised Corporate Service Provider (ACSP) and you believe the details you are supplying to be correct, you should ask the ACSP to investigate.

The identity verification details provided for the PSC were not correct. Before you try again, you should check that you have the right Companies House personal code, and make sure their details on the Companies House register are correct.

 

Why am I getting this error/ failure?

The reasons for these rejections are:

  1. The UID (Personal Code) provided does not match the one that CH has on record from when the individual completed IDV.  For example, it has been mistyped when entered into Kudocs.
  2. If filing in relation to an individual that already has a role in the company (e.g. a confirmation statement), the individual’s name or date of birth in (i) the data submitted from Kudocs does not match what (ii) Companies House has already stored for that individual in that company or what (iii) was used in the IDV process.  It needs to match in all 3 places for the filing to be approved.  For example, a company has a director whose DoB in Kudocs and at Companies House is 01/02/1980.  However, when the director was first appointed 6 years ago, their DoB was entered incorrectly & no one noticed.  The director’s actual DoB (what is on their driving licence and was used for IDV) is 02/01/1980.  The DoBs do not match and therefore Companies House will reject the filing.
  3. If incorporating a company, the individual’s name or date of birth in (i) the data submitted from Kudocs does not match what (ii) was used in the IDV process.  It needs to match in both places for the filing to be approved.  For example, a company tries to incorporate a company with “Betty-Jane Smith” as a director – as it is the name the director uses day to day.  However, the director’s actual legal name (what is on her passport and was used for IDV) is “Elizabeth-Jane Georgia Smith”.  The names do not match and therefore Companies House will reject the filing.

 

How do I fix this?

You need to check that all the information matches.  Therefore, please check the information you have entered in Kudocs as well as the information already stored at Companies House (if it is an individual with an existing role) as well as the information used to complete IDV.

  1. If you need to amend the information in Kudocs, please let us know and we can do this for you.
  2. If you need to amend the information already stored at Companies House (if the company already exists & the individual already has a role in that company), you may be able to do this using Kudocs, or may need to do it directly at Companies House (it depends on what you are changing).
  3. If there has been an error in the IDV process (which is very unlikely) you will need to contact Companies House or the ACSP that completed IDV.

Please do not resubmit the process that has been rejected (e.g. prepare and submit a new confirmation statement):  it will not work until the ‘error’ with the data has been fixed (using one of the 3 methods above). Then let us know this has been done and we can resubmit the filing for you.
