Features from: 3 July 2025 – Cap tables with transactions, board resolution to approve shareholder resolution, s.431(1) for transfer
Cap tables now include transaction histories – when you export a cap table from Kudocs (as an excel spreadsheet), it now includes a summary of all the share transactions. These are shown in separate tabs (a separate tab for each share class). You can use or ignore this information – it does not affect the main cap table and functionality, but allows you to see the share transaction history, as well as the current capitalisation position.
Run board resolution to approve circulation of shareholder/member resolution – change company name. We are adding the option of running a board (director) resolution to approve circulation of a shareholder resolution before the shareholder resolution is sent out. So you’ll be running 2 approvals in the same process. We’ve started with the change company name process, and will be adding it to other shareholder/ member resolutions in due course.
Generate s.431(1) elections for share transfers – you can now generate s.431 elections after a share transfer as well as share issues (https://www.kudocs.co.uk/faqs/s-4311-elections/).
Share certificate register improvements – we’ve made some minor improvements to the share certificate register, such as updating how and what dates are shown and certificate status information.
Warning about off system generated share certificates and latest share certificate number in Kudocs – you can create share certificates off-system and then add details to Kudocs in order to maintain an accurate share certificate register (for more information see https://www.kudocs.co.uk/faqs/share-certificates-and-share-certificate-register/). We’ve just added some improvements in places to warn you to check that the latest certificate number recorded in Kudocs is up to date. So you don’t risk generating duplicates.
