Director – removal (by members)

This guide explains how to remove a director from your board (by shareholder or member resolution at a general meeting) using Kudocs.

The action is available via:

  • Quick action list in the director’s stakeholder record – ‘Edit stakeholder record’
  • All actions

You can use either the Perform or Record route.

Provide details of which director is to be removed, the date, time and location of the members’ (general) meeting with at least 28 days’ notice, the reason for the proposed removal & whether to file at CoHse once the resolution has passed. Attach any relevant documents. Provide any missing email addresses where prompted by Kudocs.

If the members do not vote in favour of removing the director - no change to the registers or CoHse, and the meeting information is stored in Kudocs for future reference
