Shareholder management – Cap Tables

Can I use Kudocs to create my cap table?  Yes!  Kudocs has an integrated cap table builder that will generate your cap table instantaneously.  It will also include elements like options and other security (including an option pool refresh), dilution (pre- and post- money), valuation (pre- and post- money), pre-emption entitlements, new share classes, etc.  It is the perfect tool for either viewing your cap table ‘at a glance’ or modelling out what a future investment might look like.  The end product is a spreadsheet that you can download and share/ work on further in excel (which is, after all, where all cap tables end up!).

 

What is a cap table? A cap (or capitalisation) is basically a list of all the current shareholders of a company, showing a full break down of their shareholdings.  It is a shareholder register, but cleaned out of all the less essential information, focussing on shareholders and numbers – giving a detailed picture of the company’s issued equity.  It also includes unissued equity (options, warrants, convertible notes, etc.) – which makes them useful to see the current shareholder positions, but also to model what might happen if… the company reaches a certain value, takes on new investment, shareholdings change, etc.

That is why the Kudocs cap table tool allows you to build a cap table very very quickly, view it on screen and then export it to excel for further tinkering.  Creating your own cap table from scratch (assuming you know the layout you want) can take hours.  Kudocs will generate one for you at the click of a button.

 

Can I save and edit cap tables in Kudocs? Yes.  Create, save and edit as many cap tables as you want.

 

Can I share cap tables? Yes  – either by sharing user access to your Kudocs account, or downloading the cap table and sending it to whoever want.

 

How much does a cap table cost? Nothing.  It is included as part of the Dynamic and Advanced packages.

 

Can I include an option refresh in the cap table?  Yes.  The cap table builder will start using the current options information that you have stored in Kudocs, but you can then update that with whatever information you want, for the purposes of the cap table only (ie it wont change the core, true, current, information in Kudocs).

 

Will the cap table value my company?  Yes, up to a point.  Tell the system how you want to value your company, and it will work out the rest (including pre- and post- money).

 

Can I add new share classes to the cap table?   Yes.  The cap table builder will start using the current share class information that you have stored in Kudocs, but you can then update that with whatever information you want – including adding new share classes – for the purposes of the cap table only (ie it wont change the core, true, current, information in Kudocs).

 

Will using the cap table change any of the information I have in the company already?  No.  The cap table takes current shareholder and equity information and uses it to build a ‘dumb’ cap table.  You wont inadvertently make any real changes to your company.  The cap table is for information only!
