Share class voting rights: none, equal or unequal
Does Kudocs support share classes for companies limited by shares with different voting rights?
Yes. You can have share classes with no voting rights, equal voting rights (each share = 1 vote), or unequal/ weighted voting rights. What rights each share class has will be defined in the company’s articles, and you just need to add that information to Kudocs so that it can use those rights to calculate voting % and, if needed, run the correct voting processes in the system.
What is the impact of choosing different voting rights for share classes in Kudocs?
Share classes with no voting rights will be excluded from any voting right % calculations in Kudocs and in any exported registers. Shareholders with shares in such a class will also be excluded from any shareholder resolutions that are performed in Kudocs (as the don’t have voting rights!).
Share classes with equal voting rights will be include from any voting right % calculations in Kudocs and in any exported registers. Shareholders with shares in such a class will be included in any shareholder resolutions that are performed in Kudocs – i.e. they will be able to vote!
If a company has share classes with and without voting rights, it will just exclude the non-voting shares from any calculations. i.e. if a shareholder has voting and non voting shares, they will still be able to participate in shareholder resolutions run through Kudocs, as the system will only use their voting shares to calculate voting %.
If a company has a share classes with unequal voting rights Kudocs will not show any voting right % calculations in Kudocs or in any exported registers. This is because the details of how the voting rights work will be contained in the articles and bespoke for each company. Therefore Kudocs cannot automatically calculate the voting rights of the shareholders. That information will need to be provided outside of Kudocs. The ability to perform any shareholder resolutions will be disabled for a company with a share class with unequal voting rights for the same reason – Kudocs cannot calculate the correct figures. Investor consent processes are still available for companies with unequal voting rights.
Can I incorporate a company with share classes with different voting rights?
Yes you can. Just select that information in the incorporation process and remember to ensure that voting rights are made clear in the articles as well.

Can I onboard a company with share classes with different voting rights?
Yes you can. Just add details of the voting rights of each share class when onboarding the company.
Can I edit the share class details for a company with share classes with different voting rights?
Yes you can – just like editing any other details about a share class.
