Beneficial Interests & Ownership (UBO register)

Can you store details of beneficial ownership in Kudocs?

Yes.  As part of a shareholder profile (stakeholder record) you can add details of joint shareholders and/or beneficial owners or UBOs (including information about trusts). For more information, see the relevant FAQs.

These fields are optional in Kudocs – you only need to add the information if needed. You can provide information of the beneficiary’s name, address, notes and details of their beneficial ownership (by % or number of shares). The notes can include as much or as little information as you want.

This information is stored in Kudocs only – it is not submitted to Companies House and will not show up in the register of members (shareholder register).   If you need to share it outside Kudocs, you can export a separate beneficial ownership register – see below!

 

How do I add beneficial owners or UBOs to Kudocs?

You can add a beneficiary or UBO’s details:

  •  as part of the share transaction which adds the legal shareholder to Kudocs for the first time (e.g. when shares are legally issued to A, to be held on trust for B as the beneficiary). This can only be used when creating a new stakeholder record for the legal shareholder.

 

  • to the legal shareholder later, by opening their stakeholder record page, scrolling down to the ‘Shareholding info’ section and clicking on the ‘Add beneficiary’ button.

 

In both cases, this is a two-stage process. Once each beneficiary’s entry has been created under the legal owner’s stakeholder record, you must then use the ‘View & Edit’ button by their entry to update Kudocs with the shares held for that beneficiary. If only certain shares are held on behalf of a particular beneficiary, you can specify how many shares per class (either in whole numbers or by %).

Can you generate a report on beneficial ownership from Kudocs?

Yes.  You can generate a Beneficial Ownership register (also known as a UBO register) from Kudocs based on the information entered about beneficial owners.

To do so, go to Company Registers > Export registers and select the option to download registers in XLSX file format. ‘Beneficial Ownership’ will then appear on the list of registers available to export.

Does Kudocs store UBO information?  

Yes – provided that you enter details of this ownership under the beneficial ownership fields. This information will only be visible in Kudocs and on any exported beneficial ownership register.

 

How will any beneficial ownership information affect the PSC records in Kudocs?

It won’t. The PSC rules can be very complex when there is different legal and beneficial ownership of shares. Kudocs can run limited checks on direct (legal) shareholdings, but this will not include any information on beneficial ownership which is saved to Kudocs. It is up to you/the company to take this into account when running a PSC assessment.

If a beneficiary/UBO needs to be registered as a PSC, you must create a separate stakeholder record for this.
