ASA and SAFE Registers
Can I add details of ASAa and SAFEs in Kudocs? Yes – you can record details of ASAs (Advanced Subscription Agreements) and SAFEs (SAFEs (Simple Agreements for Future Equity) in Kudocs. They are in the same place as other ‘un-issued’ equity – i.e. on the Options, Warrants, Loan Notes & ASA/ SAFEs page. You can add a wide range of information about the instrument including holder details, dates, event that have happened (e.g. partial conversion, cancellation, etc). You can record an ASA or SAFE over an existing class of shares or over a share class “TBC” (ie if the terms of the instrument give an option to chose the share class at a later date).
Can I generate an ASA/ SAFE register in Kudocs? Yes – once you have recorded a warrant in Kudocs, there is an online warrant register in Kudocs, and you can also export a hard copy register .
Will details of warrants be added to my cap table? Yes, insofar as the details recorded about the warrant are complete. If they are not (e.g. the number of shares covered by the warrant cannot be defined) you will still be able to manually add details for the purposes of creating the cap table.
